Shipments: All shipments are made FOB from VL Lighting Solutions, 1738 Orangebrook Court, Unit 13, Pickering, ON. The Consignee must make claims for damage immediately upon receipt of damaged goods to the carrier and not to VL Lighting Solutions. Claims involving shortages or errors in materials must be noted on the delivery receipt and returned to VL Lighting Solutions in writing within 30 days of shipment date. Airfreight routing may be requested in writing but will not be the responsibility of VL Lighting Solutions.
Terms of Payment: Set forth upon credit search procedures: net 30. A late charge of 2% per month will be applied after 40 days. Please allow up to 10 business days for credit procedures. Additional payment methods include C.O.D. and prepay. Minimum $1,000 for new/opening account orders. Minimum billing amount of $150. No credit terms are extended on export orders.
Return of Merchandise: Merchandise can only be returned with written authorization from VL Lighting Solutions. Request must be made within three months of the shipment date. Transportation must be prepaid on all returns. Credit will be issued at prices in effect at the time of the shipment or at the time of return, whichever is lower, provided the products are in a sellable condition. A 30% restocking charge will be deducted from the credit to cover the cost of handling and inspection. Custom designed and special order products are not subject to return.
Delivery: Delivery dates are based on normal working conditions and vendor deliveries. All delivery dates when affected by fire, strike, war, acts of God, or all other unpredictable causes are subject to change. Under these or any other circumstances, VL Lighting Solutions will not accept any penalty charges levied against it or recognize the validity of penalty clauses incorporated into sales contracts, written or verbal.
Claims: VL Lighting Solutions assumes no responsibility for the improper selection or installation of its products or for labour costs involved in repair, exchange, or replacement. Our liabilities are limited to the replacement of the defective part. No responsibility will be assumed for lamp breakage resulting from receiving, installing, or shipping when VL Lighting Solutions installs lamps prior to shipment.
Custom: Custom products are defined as non-catalogued fixtures and/or catalogue items requiring over and above the options available on the cut sheets. Minimum order of $3,000 with 50% deposit on modified units in catalogue. Minimum order of $10,000 for newly developed products or fixtures. Engineering fees, costs of photometric data, and drawing charges may occur. Lead-time delineates from date of deposit. No cancellations.
Paint Charge/Custom Colours: A minimum lot charge of $300 for RAL colours or $500 for custom colours applies. Additional costs may vary depending on manufacturer and source of colour. Lead-time may be adjusted to accommodate the ordering of special material.
Cancellations: Requests for cancellations will be accepted only if made in writing and received before production. NO VERBAL CANCELLATIONS ACCEPTED. If received after production, order will be subject to a 30% fee on merchandise. Project orders may not be cancelled unless VL Lighting Solutions is reimbursed for work already performed and for special materials purchased by VL Lighting Solutions. If an order is cancelled after shipment or if delivery is refused at destination, all warehousing, delivery, and return shipping costs will be charged to the customer including a minimum restocking fee of 30%. There is a NO CANCELLATION policy on custom and/or modified materials.
Warranty: VL Lighting Solutions warrants that products are manufactured to the highest quality of standards and are free from defects in material and workmanship. VL Lighting Solutions will, at its option, either repair or replace without charge, any properly installed VL Lighting Solutions product that fails under normal operating conditions within 10 years from date of purchase.
IMPORTANT: Written authorization must be obtained from VL Lighting Solutions before completing any extensive warranty work in the field that may incur additional surcharges.
Unless otherwise stated, LED Diode Systems and drivers (not including LED Tubes) – ten (10) years on all shipments after 01/01/2017. The luminaire shall be free from defects in material and workmanship for a period of ten (10) years from the date of manufacture. The luminaire manufacturer shall warrant the LED boards/system during the stated warranty period against failure defined as more than three (3) simultaneous non-operating LEDs. The driver shall be warranted for ten (10) years.
Extended Electronic Ballast Warranty: Five (5) years, on-site service – ballast case temperature does not exceed 70°C. See the BallastSafe 72+ for details and restrictions.
Electronic Ballasts with “90°C” in their catalogue number: Three (3) years when ballast case temperature exceeds 70°C but does not exceed 90°C.
Fluorescent, PL, & HID Lamps: One (1) year.
This warranty is only for products manufactured by VL Lighting Solutions and does not extend to transportation, installation, or replacement charges unless authorized in writing by VL Lighting Solutions, nor does it apply to any equipment of another manufacturer used in conjunction with VL Lighting Solutions’ equipment.
The above warranties are given in lieu of all other warranties, express or implied, including and without limitation the warranty of merchantability and the warranty of suitability for a particular purpose. It is expressly stated that VL Lighting Solutions assumes no liability for consequential or liquidated damages arising out of a breach of sale, including any warranties arising there from, and buyer’s remedy shall be limited to repair or replacement of defective parts as described above.
Claim Procedure: In the event of a claim, claimant shall demonstrate that the failure of the product was due to a breach of this warranty and furnish proof of his/her purchase of the defective VL Lighting Solutions product, including order number. Claims must be made in writing ten days after the customer becomes aware of the failure or potential failure of the luminaire. VL Lighting Solutions must be given an opportunity to inspect the product that forms the basis for the claim, as well as records and documents concerning maintenance that relate to the manufactured product that is the subject of the claim, all of which records an documents must be maintained by the customer for a claim to be valid. Customer’s exclusive remedy under this warranty or otherwise and VL Lighting Solutions’ sole liability shall be limited to, at VL Lighting Solutions’ sole discretion, the reimbursement of repair costs, replacement of the defective material at our expense, or a refund of that portion of the purchase price attributable to the defective material. VL Lighting Solutions shall not be liable for incidental, special, or consequential damages. This warranty is extended only to the direct original purchaser of the products from VL Lighting Solutions and is not transferable or assignable. Warranty periods are based on typical 4000 hours/year operating cycles; other operating cycles may affect the warranty period.
No other warranty, express or implied, is given, including and without limitation any implied warranty of merchantability or fitness for a particular purpose, and no terms or conditions other than those stated herein shall be binding on VL Lighting Solutions. This warranty may be modified only in writing and only when signed by an authorized representative of VL Lighting Solutions.
WARRANTY DOES NOT EXTEND TO damage to the luminaire caused by moisture or other contamination during storage or usage of the product; damage caused by accident or vandalism; damage caused by installation of any other foreign equipment attached to the product; products not installed by a licensed electrician or products altered, repaired, installed, or used beyond manufacturer’s guidelines; products not supplied by VL Lighting Solutions that are attached or used in conjunction with our product; loss of use or loss of profit or any other consequential damages; improper cleaning or maintenance.
